Module Outline

This module focuses on the law relating to derivatives. It examines the analysing and documenting of derivatives transactions; the termination of derivatives transactions; legal issues relevant to collateralisation and credit derivatives, stock-lending and securitisation.

6. Common legal issues with financial derivatives contracts in practice

Module learning outcomes

Demonstrate a critical and in-depth knowledge of the law of financial derivatives and structured products both from a theoretical and practical standpoint.

Provide an extensive analysis and explanation on derivative products such as creating and structuring derivatives contracts, interpreting and performing standard market agreements, effecting security and collateral arrangements, set-off and netting.

Analyse 'derivative' instruments, their application in different economic situations, and the benefits/consequences of helping clients set up contracts employing them when investing or conducting business, both locally and globally.

Identify, analyse and mitigate the legal and reputational risks inherent in structured finance transactions.

Demonstrate critical understandings on complexity of international financial transactions relating to derivatives and structured finance, and the skills to examine and critically assess financial products and techniques that constitute the building blocks of modern structured finance.
