Module Outline
This module provides an innovative approach to the analysis of business organisations by focusing, not only on the regulation of central aspects of their governance, but also on how this affects their functioning & behaviour. The module addresses three types of business organisations, namely sole traders, partnerships and companies, with a focus on the latter.
The topics examined include the choice of business form, agency problems in business organisations, shareholder power, opportunistic behaviour by directors in companies, the role of the company’s gatekeepers, and anti-bribery laws & their extraterritorial effects.
This module will be useful for students with an interest in, among others, financial law, commercial law, & company law.
Module learning outcomes
Critically evaluate the vital theoretical legal, economic and behavioural aspects which determine the functioning of corporations
Critically assess new developments in corporate law and regulation
Develop a systematic and conceptual understanding of the nature and techniques of judicial practice in corporate law
Develop a systematic and conceptual understanding of key behavioural aspects of the functioning of corporations and their constituencies (shareholders, board of directors, stakeholders etc)
Develop a complex understanding of the economics of corporate law
